1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the Eleven Seven AI LLC websites, applications, APIs, and related services (collectively, the "Platform") provided by ElevenSeven Inc. and its affiliates (collectively, "ElevenSeven," "we," "us," or "our"). By accessing or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of an entity, you represent that you have authority to bind that entity, and "you" includes that entity and its personnel.

2. Modifications

We may update these Terms and any referenced policies from time to time. Unless a different effective date is stated, changes take effect 30 days after we post them on the Platform or otherwise notify you. Your continued use after the effective date constitutes acceptance.

3. Key Terms

  • Platform: Eleven Seven AI LLC web/mobile apps, dashboards, APIs, communications features (e.g., SMS/voice, if applicable), and services we make available.
  • User: Anyone who accesses or uses the Platform.
  • Client: A User seeking to discover, evaluate, or connect with service providers via the Platform.
  • Service Provider (Provider): A User offering or performing services to Clients discovered via the Platform. Providers are independent third parties, not ElevenSeven employees or agents.
  • Services: Off-Platform services Providers offer to Clients (e.g., consulting, home services, professional services).
  • ElevenSeven Content: Content we make available (excluding User Content).
  • User Content: Content submitted or generated by Users (e.g., profiles, project details, messages, reviews, invoices).
  • Fees: Any amounts the Platform charges Users (if applicable).
  • Eleven Seven AI LLC: The ElevenSeven product/brand that operates the Platform.

4. Eligibility; Usage

You must be 18+ and able to form a binding contract. You are responsible for compliance with all laws that apply to you. Features may vary by location and may not be available in all jurisdictions.

5. Nature of the Platform; No Employment

ElevenSeven is not a service provider or employer of Providers. The Platform (a) helps Clients discover Providers and (b) may facilitate messaging, scheduling, or payments between Users. Any Services are performed solely by Providers under their separate arrangements with Clients. ElevenSeven does not control how Providers perform Services and does not warrant outcomes unless expressly stated in a separate written policy.

6. Accounts; Security; Third-Party Logins

You may need an account to use parts of the Platform. Keep your credentials confidential and promptly notify us of unauthorized use. You're responsible for activities under your account. If you use third-party logins (e.g., Google), those providers' terms apply to that login.

7. Provider Representations (if applicable)

If you act as a Provider, you represent and warrant that you and anyone acting on your behalf:

  • are qualified, licensed, bonded, and insured as required by law for the work you perform;
  • will comply with all laws (including privacy/marketing laws and do-not-call/text rules);
  • will deliver Services professionally and per your agreement with the Client;
  • will not misrepresent your identity, qualifications, pricing, or availability.

Background/identity checks (if applicable): We may request verification and/or background checks via third-party vendors. We may restrict, suspend, or close accounts based on results. See the Privacy Policy for details.

8. License; Ownership

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. The Platform and ElevenSeven Content are owned by ElevenSeven or its licensors and protected by IP laws. Except for the license above, no rights are granted.

9. User Content; Feedback

By submitting User Content, you grant ElevenSeven a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, host, display, distribute, adapt, and create derivative works from your User Content to operate, improve, and promote the Platform and as otherwise permitted by law and our Privacy Policy. You represent you have rights to the User Content and that it doesn't infringe others' rights or violate law.

We may remove or disable User Content that we believe violates these Terms. If you submit feedback or suggestions, you grant ElevenSeven a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

10. Prohibited Conduct

You may not:

  • violate laws or third-party rights;
  • misrepresent identity, qualifications, or Services;
  • harvest, "sell," or use personal data for targeted advertising except as allowed by these Terms and law;
  • scrape or use bots without our written consent (standard public search engine indexing is OK);
  • interfere with Platform security, integrity, or operation;
  • circumvent Fees or required on-Platform workflows;
  • post illegal, harmful, harassing, or deceptive content;
  • spam Users or engage in fraudulent or deceptive schemes;
  • attempt to reverse engineer or exploit the Platform except as allowed by law.

11. Fees; Budgets; Refunds (if applicable)

We may charge Fees to Providers and/or Clients for certain features (e.g., contacts, bookings, subscriptions). We may allow Providers to set spending limits ("Budgets") for eligible fees over a specified period; fees outside the Budget may still be billed. Fees, billing triggers, and timing may change. Except as expressly stated in a posted refund policy, all Fees are non-refundable.

12. Payments Between Users (if applicable)

The Platform may facilitate payments between Clients and Providers via a third-party processor (e.g., Stripe). ElevenSeven is not a party to any Services transaction. Payments processed on-Platform are deemed received by the payee when received by the processor as agent for payment. Users must comply with the processor's terms. We may hold, offset, debit, or reverse amounts to resolve disputes, fraud, chargebacks, or policy violations as permitted by law and processor rules.

Clients must keep payment info current and authorize charges when due. Providers authorize us/our processor to debit accounts for adjustments, refunds, or payout reversals (if applicable).

13. Communication Tracking; Recording (if applicable)

To ensure accurate billing, prevent fraud, and improve quality, we may mask phone numbers, route calls/texts, and may record, transcribe, analyze, and/or store communications sent through the Platform to the extent permitted by law. See the Privacy Policy.

14. SMS Terms & 10DLC Compliance (if applicable)

  • By providing your number, you consent to receive texts from us and our providers (e.g., Twilio) at that number for verification, notifications, and (with separate consent) marketing.
  • Message & data rates may apply. Message frequency varies.
  • Opt-out: Reply STOP to end non-essential texts; reply HELP for help.
  • Marketing texts require your opt-in and are not required for purchase or use.
  • We register 10DLC campaigns as needed, maintain opt-in/opt-out logs, and enforce prohibited-content rules. Delivery is not guaranteed.

15. Promotions & Advertising (if applicable)

We may run promotions, credits, or discounts subject to additional terms. We may display sponsored content or ranking boosts for Providers who meet criteria. Ads and links to third-party sites do not imply endorsement.

16. Reviews & Disputes Between Users

Reviews should be accurate and lawful. We are not obligated to mediate disputes, but we may offer tools or informal resolution. Ultimately, Clients and Providers are responsible for resolving their own disputes.

17. AI-Generated Output; Beta Features

The Platform may generate AI outputs based on your inputs. AI outputs can be incomplete, inaccurate, or inappropriate. You are responsible for independently evaluating and using outputs, including for legal, medical, financial, safety, or compliance purposes. We may offer beta or experimental features "AS IS" and may change or discontinue them at any time.

18. Open-Source & Third-Party Services

The Platform may include open-source components under separate licenses and integrate third-party services (e.g., Stripe, Twilio, cloud providers). Those third parties' terms govern their components/services.

19. Copyright & DMCA

We respect intellectual property rights and may terminate repeat infringers. To submit a copyright complaint or counter-notice, email info@elevenseven.link with sufficient detail for us to act. We will provide full DMCA instructions on request.

20. Disclaimers

YOUR USE OF THE PLATFORM AND ANY CONTENT OR AI OUTPUT IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY/ACCURACY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IF SO, THEY APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ELEVENSEVEN NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID ELEVENSEVEN FOR PLATFORM FEES IN THE 6 MONTHS BEFORE THE EVENT).

22. Indemnification

You will defend, indemnify, and hold harmless ElevenSeven and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your Services or dealings with other Users; (d) your violation of these Terms or law; or (e) your infringement of third-party rights.

23. Arbitration & Class Action Waiver

Informal Resolution

Before filing a claim, the complaining party must send a detailed written notice and both sides will attempt to resolve the dispute in good faith within 60 days. Send notices to Eleven Seven AI LLC., Attn: Legal, 12706 Waltham Dr, Frisco, TX 75035 and info@elevenseven.link.

Binding Arbitration

Except for small-claims or IP enforcement, any dispute arising out of or relating to these Terms or the Platform will be resolved by confidential, binding arbitration under the Federal Arbitration Act.

  • If claimed relief is โ‰ค US $10,000, arbitration may be conducted online via a reputable provider we specify at filing time, under its then-current rules.
  • If claimed relief is > US $10,000, arbitration will be administered by JAMS under the JAMS Streamlined (โ‰ค $250k) or Comprehensive Rules (> $250k), excluding any rules permitting class arbitration.

The arbitrator has exclusive authority to decide arbitrability and may award any relief that a court could. The award is final and may be entered in any court with jurisdiction.

Venue

If you reside in the U.S., you may elect arbitration in your county of residence; otherwise, Collin County, Texas.

Class Action Waiver

ARBITRATION AND LITIGATION MUST PROCEED INDIVIDUALLY. YOU AND ELEVENSEVEN WAIVE THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

30-Day Opt-Out

You may opt out of arbitration/class waiver by emailing info@elevenseven.link within 30 days of your first use of the Platform with your name, account email, and a clear statement that you opt out. Opting out does not affect any prior agreements to arbitrate.

24. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law. For disputes not subject to arbitration or small-claims court, the exclusive venue will be the state or federal courts located in Collin County, Texas, and you consent to personal jurisdiction there.

25. International Use; Export

The Platform is operated from the United States and may not be appropriate everywhere. You are responsible for compliance with local laws. You represent you are not located in a U.S.-sanctioned country or on a restricted-party list and will comply with export and sanctions laws.

26. Electronic Communications; E-Sign

You consent to receive notices and communications electronically (email, in-app, or posting on the Platform) and to use electronic signatures/records in connection with the Platform.

27. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., labor disputes, cyber incidents, outages, pandemics, disasters, war, acts of government).

28. Termination; Suspension

We may limit, suspend, or terminate your access at any time with or without notice if we believe you violated these Terms, present risk, or for other legitimate reasons. You may stop using the Platform at any time. Sections that by nature should survive, do (including ยงยง 8โ€“9 and 20โ€“26).

29. Entire Agreement; Severability; Waiver; Assignment; Headings; Time to File

These Terms (plus policies referenced here) are the entire agreement between you and ElevenSeven concerning the Platform. If any term is unenforceable, the rest remain in effect. A failure to enforce is not a waiver. You may not assign these Terms without our written consent; we may assign them. Headings are for convenience only. To the extent permitted by law, any claim must be filed within 1 year after it accrues.
